Interpretation
Words with initial capital letters have the meanings defined below. These definitions apply whether they appear in singular or plural.
Definitions
- Company: Bidsstack PTY LTD, South Africa.
- Service: The TenderFolder website, application, document storage workspace, and related features.
- Website: https://tenderfolder.co.za
- Application: https://app.tenderfolder.co.za
- You: The individual, company, organization, or account user accessing or using the Service.
- Uploaded Content: Documents, files, notes, metadata, and other information uploaded, stored, or submitted to TenderFolder.
- Device: Any device used to access the Service.
- Terms: These Terms of Service form the agreement between you and the Company.
Acknowledgment
By using the Service, you agree to these Terms. If you do not agree, you should not use the Service.
You must be at least 18 years old to use TenderFolder.
Use of the Service is also governed by the Privacy Policy.
Service Description
TenderFolder is a software service that helps companies upload, store, organise, and access compliance documents and company tender files in a shared digital workspace. The Service is intended to support tender preparation by making company documents easier to find and manage.
TenderFolder provides document storage and related workspace tools. It does not guarantee that any uploaded document is valid, current, complete, legally compliant, or acceptable for a specific tender submission. Users remain responsible for reviewing all documents and tender requirements before submission.
User Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account or workspace. You agree to provide accurate account information and to keep your account details up to date.
Team members invited to a TenderFolder workspace may access uploaded documents according to the permissions and features available in the Service. You are responsible for ensuring that only appropriate users are invited to your workspace.
Uploaded Content and Ownership
You retain ownership of documents, files, and other content you upload to TenderFolder. By uploading content, you grant the Company the limited right to store, process, transmit, and display that content only as necessary to provide, secure, maintain, and support the Service.
You are responsible for ensuring that you have the right to upload, store, share, and use any content submitted to TenderFolder. You must not upload unlawful, harmful, infringing, or unauthorized content.
Document Accuracy and Tender Responsibility
TenderFolder does not verify the accuracy, validity, expiry status, legal effect, or tender suitability of uploaded documents unless a specific feature explicitly states otherwise. You remain responsible for checking all documents, tender requirements, submission rules, deadlines, and compliance obligations.
The Service should not be treated as legal, procurement, tax, financial, accounting, or compliance advice.
Plans, Trials, Billing, and Usage
TenderFolder may offer a 14-day free trial, paid subscription plans, storage limits, user access, and related workspace features. The plan is currently priced at R300 per month and includes 5GB storage and unlimited users, subject to fair use, technical safeguards, and any limits communicated on the pricing page, at signup, or inside the application.
Plan features, storage limits, trial availability, pricing, payment terms, support levels, and billing rules may be updated with notice. Continued use of the Service after changes take effect means you accept the updated terms.
Fair Use and Storage
Unlimited users are provided to support normal company tender preparation workflows. We may apply fair use, security, anti-abuse, or technical controls to protect the Service, prevent misuse, and maintain platform performance.
Storage may be limited by your plan. If your workspace reaches its storage limit, you may need to delete files, upgrade where available, or reduce usage before uploading additional documents.
Acceptable Use
You agree not to misuse the Service, including:
- Attempting unauthorized access to accounts, workspaces, systems, or data
- Uploading malware, harmful files, or unlawful content
- Using the Service for fraudulent, illegal, abusive, or misleading activity
- Interfering with platform operations, security, or availability
- Attempting to bypass storage, billing, access, or technical limits
- Using the Service to store content you do not have the right to use
Third-Party Links and Services
TenderFolder may rely on or link to third-party services such as payment providers, hosting providers, analytics tools, email systems, authentication providers, or related infrastructure providers. We are not responsible for the terms, availability, actions, or privacy practices of third-party services.
Service Availability and Changes
We aim to keep the Service reliable and available, but we do not guarantee uninterrupted access. Planned maintenance, updates, hosting issues, payment provider issues, security events, third-party outages, or unexpected downtime may occur.
We may update, modify, suspend, or discontinue parts of the Service where necessary to improve the product, maintain security, comply with law, or protect users and the Company.
Termination
We reserve the right to suspend or terminate your access if you violate these Terms, misuse the Service, create risk for the platform or other users, fail to pay required fees, or use the Service in a way that may harm the Company or others.
Data Export and Deletion
You are responsible for keeping your own backups of important documents. Where available, you may download or remove files from your workspace. If your account is cancelled, suspended, or terminated, access to stored documents may be limited or removed according to our retention practices, legal obligations, and product rules.
Limitations of Liability
To the extent permitted by law, TenderFolder and Bidsstack PTY LTD are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost tenders, missed deadlines, lost data, business interruption, or procurement outcomes.
To the extent permitted by law, total liability is limited to the greater of your last 6 months of payments for the Service or R2,000 ZAR.
Disclaimer
The Service is provided as is and as available. We do not guarantee uptime, document validity, document compliance, tender eligibility, successful submissions, or fitness for a particular purpose.
Governing Law
These Terms are governed by the laws of South Africa.
Dispute Resolution
If there is a dispute, please contact us first. We will do our best to resolve matters amicably. Otherwise, disputes will be handled through South African courts.
Updates
These Terms may be updated occasionally. When updated, the date above will change. By continuing to use the Service, you agree to the latest version.
